Terms of Service
MyPass is a business-to-business software service operated by Lepews LLC. Commercial pricing is agreed privately with each client, and service usage is billed after the applicable usage period. MyPass is not sold as a consumer subscription.
1. Agreement and contracting party
These Terms of Service govern access to and use of MyPass, including its websites, client subdomains, administrative tools, digital access passes, communications, validation tools, integrations, and related services (collectively, the “Service”). “Lepews,” “we,” “us,” and “our” mean Lepews LLC, a limited liability company formed in Delaware, United States, in 2023. “Client” means the company or organization that contracts directly with Lepews to use the Service.
These Terms form part of the agreement between Lepews and the Client. If a signed order form, statement of work, or other written agreement conflicts with these Terms, the signed agreement controls for that conflict.
2. Business accounts and authorized users
The Service is intended for business use. A person creating or administering an account represents that they are authorized to act for the Client. The Client is responsible for its users, credentials, permissions, subdomain, and all activity conducted through its account.
Credentials must be kept confidential and may not be shared outside the Client’s authorized team. Suspected unauthorized access must be reported promptly to [email protected].
3. The Service
MyPass helps Clients organize VIP attendee information, create and distribute digital wallet passes, communicate event information, and validate access at shows and related experiences. Features, integrations, service levels, implementation work, and usage allowances may vary by Client and are defined in the applicable commercial agreement.
Lepews may improve or modify the Service over time. We will not materially reduce contracted functionality during an active service period without reasonable notice, except where a change is required for security, legal compliance, or a third-party integration.
4. Private pricing and postpaid usage billing
MyPass does not publish standard prices. Rates, billable events, currencies, billing periods, minimum commitments, taxes, and payment terms are agreed directly with each Client in writing before paid use begins.
Unless the commercial agreement says otherwise, charges are calculated after the applicable period using Service records, including validated accesses, events, enabled features, implementation work, or other agreed usage units. Lepews will provide an invoice or usage statement identifying the amount due and the relevant period.
If the Client authorizes automatic payment, Lepews may charge the payment method on file after issuing the applicable invoice or usage statement. The authorization remains limited to amounts due under the Client’s commercial agreement and these Terms.
5. No subscription or automatic renewal
Use of MyPass is not a recurring consumer subscription and does not renew at a fixed public subscription price. The Client pays for actual or contractually committed usage on a postpaid basis. Ending use of the Service does not eliminate charges already incurred or other payment obligations stated in the commercial agreement.
6. Billing questions and refunds
Billing questions and refund requests must be submitted through the internal billing form available to authorized administrators in the MyPass platform. Until that form is enabled, requests may be sent to [email protected]. Eligibility and processing are governed by our Billing and Refund Policy and the Client’s commercial agreement.
7. Account closure and deletion
MyPass accounts do not include a subscription cancellation mechanism. An authorized Client administrator may request account deletion from the account settings when that feature is available. Deletion may be delayed where data must be retained for billing, security, dispute resolution, legal compliance, or the protection of Client and attendee records. Amounts incurred before deletion remain payable.
8. Client data and attendee information
The Client controls the attendee and event data it submits to MyPass and is responsible for having the notices, permissions, and lawful basis required to collect and use that data. Lepews processes Client data to provide, secure, support, and improve the Service, as described in the Privacy Policy and Data Processing Terms.
9. Acceptable use
The Client and its users must comply with our Acceptable Use Policy. Lepews may restrict or suspend access where necessary to address unlawful activity, security threats, nonpayment, material breach, or harm to the Service or third parties.
10. Third-party services
The Service may interoperate with ticketing platforms, digital wallet providers, payment processors, email providers, hosting services, and other third parties. Their services are governed by their own terms. Lepews is not responsible for outages or changes caused by third-party services outside our reasonable control.
11. Intellectual property
Lepews and its licensors retain all rights in the Service, software, designs, documentation, and MyPass branding. The Client retains its rights in Client data, names, logos, and materials. The Client grants Lepews the limited rights necessary to host, process, display, and transmit those materials solely to provide the Service.
12. Confidentiality
Each party will protect non-public business, technical, security, pricing, and Client information received from the other and use it only for the business relationship, except where disclosure is required by law or expressly authorized.
13. Disclaimers and limitation of liability
Except for commitments expressly stated in a signed agreement, the Service is provided on an “as available” basis. To the maximum extent permitted by applicable law, neither party will be liable for indirect, incidental, special, consequential, or punitive damages. Any additional warranty, indemnity, or liability terms are governed by the Client’s signed agreement.
14. Changes to these Terms
We may update these Terms to reflect changes to the Service, law, or business operations. We will post the updated effective date and provide additional notice when required. Continued use after an update takes effect constitutes acceptance, subject to any different amendment procedure in the Client’s signed agreement.
